Terms of Service

Welcome to UniPort. This Agreement is a legally binding contract between you ("User" or "you") and UniPort ("we") regarding your use of the Service. Please read all terms carefully, especially the disclaimer or liability limitation clauses marked in bold or underlined. By clicking "Agree", registering an account, or using the Service, you confirm that you have fully understood and accepted all terms of this Agreement. If you do not agree to any term, please stop using the Service.
1. Acceptance and Definitions
(1) "The Service" refers to the unified software distribution, version update management, user feedback, data analytics, and related functions provided by UniPort. (2) "User" refers to any natural person, legal entity, or unincorporated organization that registers an account or otherwise uses the Service. (3) "Content" refers to software, versions, text, images, and other materials uploaded, published, or stored by users through the Service. (4) "Account" refers to the account registered by a user and its associated information. This Agreement includes the main text and all referenced annexes such as the Privacy Policy and separate agreements, which have equal legal effect. If any provision is deemed invalid, it does not affect the validity of other provisions.
2. Service Description
UniPort provides a unified software distribution and update management platform for developers and users, with core services including: software hosting and version distribution, automatic update push, user authorization and subscription management, payment and order processing, user feedback collection, data analytics and visualization, and ad slot management. The specific available features depend on your chosen plan (Free, Pro, Team, or Enterprise). We reserve the right to add, adjust, or retire certain features based on operational needs, but will announce in advance and ensure your existing lawful rights are not affected. The Service is offered to natural persons with full civil capacity and legally existing organizations.
3. Account Registration and Management
(1) Registration: you must ensure that registration information is true, accurate, and complete, and complete identity verification (phone or email) as required by the Cybersecurity Law. (2) Password security: you must set a strong password (at least 8 characters, including uppercase and lowercase letters, digits, and special symbols), safeguard account credentials, and must not lend, transfer, or share accounts with third parties. You bear all losses caused by your failure to safeguard the account. (3) Account security: you should notify us immediately if you discover unauthorized use or abnormal login. The authenticity of account operations is determined by system records. (4) Account deletion: you may request account deletion at any time; we will delete or anonymize your personal information within 15 business days (unless otherwise required by law).
4. User Conduct
When using the Service, you must comply with the laws and regulations of the People's Republic of China and public order and good morals, and must not engage in the following: (1) uploading or distributing malware, viruses, Trojans, or other programs harmful to cybersecurity; (2) uploading content that infringes others' intellectual property, trade secrets, or privacy; (3) publishing illegal, obscene, violent, discriminatory, or defamatory information; (4) using the Service for fraud, money laundering, illegal fundraising, or other illegal activities; (5) reverse engineering, cracking, interfering with, or attempting unauthorized access to the Service; (6) using technical means to mass-register, inflate metrics, evade payment, or abuse the invitation reward mechanism; (7) processing others' information in violation of the Cybersecurity Law, Data Security Law, Personal Information Protection Law, etc. Violators will be subject to immediate content removal, feature restriction, suspension, or termination, and relevant records will be preserved for regulatory or judicial cooperation.
5. Intellectual Property
(1) Platform rights: the UniPort platform's source code, architecture, interface design, trademarks, logos, documentation, and related intellectual property are owned by us or our rights holders; they may not be copied, modified, distributed, or used commercially without written authorization. (2) User content: the content you upload and its intellectual property rights belong to you or the original rights holders. You grant us a non-exclusive, sub-licensable (to service providers only), royalty-free license to store, distribute, run, and display it within the Service. (3) You warrant that uploaded content does not infringe any third party's intellectual property; you are solely responsible for any infringement disputes arising from your content and shall indemnify us for resulting losses. (4) For content involving third-party software, you must ensure lawful authorization and comply with the applicable license agreements.
6. Content Moderation and Violation Handling
In accordance with the Regulations on Network Data Security Management and the Cybersecurity Law, we maintain a content moderation mechanism: (1) software and content you upload must pass security screening and must not contain malicious code or illegal information; (2) we have the right but not the obligation to review user content and may block, delete, or take down violations; (3) for software subject to infringement complaints, we will take necessary measures upon receiving a valid notice and inform you; (4) you may submit a counter-notice to dispute claims, and we may restore content upon receiving a legally compliant counter-notice; (5) repeat or serious violators will have services suspended or terminated and be reported to regulators. You must cooperate with our reviews and provide necessary qualification proofs.
7. Paid Services and Subscriptions
(1) Plans and pricing: we offer Free, Pro, Team, and other plans; specific features and prices are as displayed on the website, and we may adjust prices with prior notice. (2) Billing: paid plans are billed monthly or annually in advance via Alipay, WeChat Pay, etc. (3) Auto-renewal: if enabled, your subscription will be automatically renewed before expiration; you may disable this at any time in account settings. (4) Trial: new Pro or Team subscriptions include a 14-day free trial with no charge; if not canceled before the trial ends, it converts to a paid subscription. (5) Upgrades: upgrades take effect immediately with prorated charges for the remaining cycle; downgrades take effect at the end of the current cycle. (6) Orders and invoices: payment records are available in "My Orders"; contact support for invoices.
8. Refund Policy
(1) Paid subscriptions are generally non-refundable within the current billing cycle; after cancellation, service continues until expiration, then automatically downgrades to the Free plan. (2) If a serious service outage occurs due to our fault and is not resolved within a reasonable period, you may request a proportional refund for the outage duration. (3) Cancellation before the trial ends incurs no charges. (4) Fees are non-refundable for accounts terminated due to Agreement violations. (5) Refund requests should be sent to support@uniport.app; we will review and process within 5 business days. If you disagree with the refund result, you may file a complaint with consumer protection authorities. Where laws mandate specific refund rights, those provisions prevail.
9. Invitation Reward Mechanism
(1) Reward rules: we offer an invitation reward feature where users can generate invite codes for specific apps; inviting friends to register earns tiered Pro rewards: 1 invite = 7 days, 3 invites = 30 days, 5 invites = 90 days Pro access. (2) Reward distribution: rewards are automatically granted after the invitee successfully registers; reaching a higher tier automatically extends the reward days. (3) Usage limits: each user may generate up to 5 invite codes per day; each code may be used only once; rewards apply only to the Pro access of the specified app. (4) Anti-fraud: fake registrations, bot inflation, self-invitation, or other fraudulent means are prohibited. Upon discovery, we may cancel rewards, revoke granted Pro access, and suspend or terminate the account depending on severity. (5) Rule adjustments: we reserve the right to adjust the invitation reward rules with prior notice.
10. Service Availability and Disclaimers
(1) Availability: we strive to maintain 99.9% service availability, but are not liable for service interruptions or data loss caused by maintenance, upgrades, failures, or force majeure (including but not limited to natural disasters, network outages, policy changes, government actions). Enterprise SLAs are specified in the contract. (2) As-is: the Service is provided "as is", and we do not guarantee continuous, uninterrupted, error-free operation or that it meets all your expectations. (3) Third-party content: the Service may contain or link to third-party software or websites, whose content is the responsibility of the third parties; we make no warranties regarding their accuracy, legality, or security. (4) Disclaimer: to the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use the Service.
11. Limitation of Liability
(1) To the maximum extent permitted by law, our cumulative liability for any claims arising from or related to the Service is limited to the total fees you actually paid (for the 12 months preceding the dispute). (2) For free services, we bear no liability for compensation. (3) You agree to indemnify and hold us harmless from any claims, losses, and expenses (including reasonable attorneys' fees) arising from your breach of this Agreement, infringement of third-party rights, or illegal acts. (4) This liability limitation does not apply to personal injury caused by our intentional or grossly negligent conduct, or to liabilities that cannot be limited by law. (5) Where applicable law prohibits such limitations, they do not apply to the extent prohibited.
12. Amendments and Termination
(1) Amendments: we may update this Agreement from time to time. For material changes (e.g., service adjustments, fee changes, liability scope changes), we will notify you 30 days in advance via website announcement or email; if you do not agree, you may stop using the Service or delete your account; continued use constitutes acceptance. (2) Termination: you may delete your account at any time to terminate this Agreement; we may terminate or suspend the Service if you breach this Agreement and fail to remedy after notice, your account is inactive for an extended period, required by law or regulatory directive, or we cease operations. (3) Post-termination: after termination, we will stop providing services and process your personal information as required by law; you should export needed data before termination, after which we will delete or anonymize per the Privacy Policy. Termination does not affect rights and obligations accrued prior to termination.
13. Governing Law and Dispute Resolution
(1) Governing law: the formation, validity, interpretation, performance, and dispute resolution of this Agreement are governed by the laws of the People's Republic of China (excluding the laws of the Hong Kong SAR, Macau SAR, and Taiwan). (2) Dispute resolution: any dispute arising from this Agreement shall first be resolved through amicable negotiation; failing that, either party may file a lawsuit with a people's court having jurisdiction at our domicile, with internet-related disputes handled by the internet court. (3) Severability: if any provision is deemed invalid or unenforceable, it does not affect the validity of other provisions. (4) Entire agreement: this Agreement constitutes the entire agreement between the parties regarding the use of the Service, superseding all prior oral or written agreements.
